COMPANY REGISTRATION

From 13th of March 2003, at the KBRA was initiated carrying out application for registration of Joint Stock Companies, Limited Liability Companies or Limited Partnership, using appropriate forms.
J.S.C (Joint Stock Company)
According to Section 26.2 of UNMIK Regulation No 2001/6, capital assets for a Joint Stock venture shall be of at least 25,000 Euro, whereas capital assets for a Limited Liability Company shall be of at least 2,500 Euro.
Based on section 28 of AD 2002/22, Joint Stock company, Limited Liability Company or Limited Partnership shall be considered as a legal entity on the day of registration, accounted as the day application is received for registration. This day of registration might be the day after application was submitted, which under section 10.4 is the day application was received. Prior registration confirmation of the legal entity, the work can not be initiated. Except exemptions mentioned under section 20 of AD 2002/22, business name should be unique and having suffix responding to business type.
J.S.C (Joint Stock Company)

a) If the name is in Albanian, should end up with Shoqëri aksionare or SH. A.
b) If the name is in English, should end up with Joint Stock Company or J.S.C.
c) If the name is in Serbian, should end up with Deoniçarsko drustvo or D.D.

L.L.C. (Limited Liability Company)

a) If the name is in Albanian, should end up with Shoqëria me përgjegjësi të kufizuar or SH.P.K.
b) If the name is in English, should end up with Limited Liability Company or L.L.C.
c) If the name is in Serbian, should end up with Društvo sa Neograničenim Odgovornosču or D.O.O.


LP (Limited Partnership)

a) If the name is in Albanian, should end up with Ortakëri e kufizuar or O.K.

b) If the name is in English, should end up with Limited Partnership or L.P.

c) If the name is in Serbian, should end up with Ograničeno Partnerstvo or O.P.

About any change the Registration Office should be informed and this is done through pertinent forms, and within a deadline of 5 working days, as mentioned under section 24 of AD 2002/22
Any change in names or addresses of directors or authorized persons which are authorized to represent corporation, Registration Office should be notified within 14 working days from the day of change. Concerning changes, which are notified at the Registration Office, all relevant form columns should be filled in.
According to section 33 of AD 2002/22, all Limited Liability Companies and Joint Stock Companies shall submit to KBRA either Annual Report or Financial Statement prepared according to section 4 and 5 of UNMIK Regulation 2001/30 On the Establishment of the Kosovo Board on Standards for Financial Reporting and a Regime for Financial Reporting of Business Organisations, and should contain information as requested by section 33.1 of AD 2002/2.
